Important Note: All our sales are made subject to, and on the basis of, these terms and conditions, to the exclusion of all other terms.
By instructing us to proceed with an order, you are deemed to have accepted these terms and conditions in their entirety.
1. About Us and Our Products
You can find all key information about Edensteel Ltd and our products on our website or from our sales staff before you order. We will also confirm essential details to you in writing after you order—either by email, in your online account, or on paper.

2. Business vs. Consumer Rights
Business customers do not have the same rights as consumers. For example:

Business customers cannot cancel orders once accepted.

Business customers have different remedies for faulty products.

Compensation for losses is limited for business customers.
You are a business customer if you are buying products wholly or mainly for use in connection with your trade, business, craft, or profession, even if you are an individual.
3. Order Process

Order acceptance: We only accept orders once we have checked them and confirmed acceptance.

Order rejection: We may reject orders if items are out of stock, pricing errors occur, credit checks fail, or delivery locations are outside our stated areas.

Payment: We charge you when you place your order, unless otherwise stated during the order process. You will own the products once payment is received in full.

Late payment: Interest is charged at 4% above the Bank of England base rate on overdue amounts.

VAT changes: If VAT rates change between order and delivery, we will adjust your invoice unless full payment was made before the change.
4. Delays Outside Our Control
If delivery is delayed due to events beyond our control (e.g., supply shortages, strikes, lockdowns), we will notify you promptly. If delays are substantial, you may end the contract and receive a refund for undelivered products, minus reasonable costs incurred.
5. Product Variations

Colours, sizes, and packaging may differ slightly from images or descriptions.

Custom products may vary by up to 5mm or 2% (whichever is greater).

We reserve the right to change materials used, such as using Corten or mild steel in our products.
6. Customer Responsibilities

Ensure all measurements/specifications provided are accurate.

Provide all required delivery and site information in advance.

If delivery fails due to your fault, redelivery charges apply (£95 per pallet / £40 per parcel).
7. Consumer Right to Cancel
For most products bought online or by phone, consumers may cancel within 14 days of order acceptance, unless the product is:

Custom-made or personalised

Mixed inseparably with other goods after delivery

A service already completed
Returns:

Return products within 14 days of cancellation.

Returns are at your cost unless faulty (£95 per pallet / £40 per item via courier for our arranged collection).

Products must be returned in resaleable condition. Refunds may be reduced if items are damaged or used.
8. Faulty Products
Consumers: Your statutory rights apply under the Consumer Rights Act 2015.
Businesses: We provide a 60-month warranty for goods meeting specification, free from material defects, and fit for stated purpose, with exclusions for misuse, poor maintenance, alterations without consent, and normal wear and tear.
9. Changes to Products and Terms
We may make changes:

10. Suspension or Withdrawal of Supply
We may suspend or withdraw products for technical, legal, or operational reasons. If supply is suspended for over a month, you may cancel and receive a refund for undelivered items.
11. Ending the Contract
We may terminate if you:

Fail to pay within 21 days of a reminder

Fail to provide necessary information or access

Fail to take delivery or collect goods in a reasonable time
12. Liability Limitations
Consumers: We are liable for foreseeable losses caused by our breach, but not for business losses or events beyond our control.
Businesses: Our liability is limited to the product price and excludes indirect or consequential losses.
We do not exclude liability for:

Death/personal injury caused by negligence

Fraud or fraudulent misrepresentation

Breach of statutory rights

Defective products under the Consumer Protection Act 1987
13. Privacy

14. Dispute Resolution

We aim to resolve complaints quickly via our Customer Service Team.

Consumers may use alternative dispute resolution (ADR) before court action.

Jurisdiction: English law applies. Consumers can sue in their local courts; businesses agree to the exclusive jurisdiction of the English courts.
15. Other Important Terms

We may transfer our rights/obligations to another organisation.

Consumers may only transfer their rights with our consent (except our goodwill guarantee).

No third party has rights under this contract.

If part of the contract is invalid, the rest still applies.

Delay in enforcing rights does not waive them.
